Terms of Service

1. Overview

These Terms of Service (“Terms”) govern access to and use of Hyde, Inc.’s (“Hyde”) platform, software, APIs, models, tools, documentation, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

If you have executed a separate written agreement with Hyde governing your use of the Services, that agreement will control to the extent of any conflict with these Terms.

Your use of the Services is also subject to Hyde’s Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Services

Hyde provides enterprise AI infrastructure and related technology services, which may include model deployment, inference, fine-tuning, agent configuration, and related functionality.

Hyde may modify, enhance, or update the Services from time to time.

3. Accounts and Access

You are responsible for:

• Maintaining the confidentiality of account credentials
• All activities conducted under your accounts
• Ensuring authorized users comply with these Terms

Hyde may suspend or restrict access in the event of misuse or violation of these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful or fraudulent purposes
• Interfere with the security or integrity of the Services
• Attempt to gain unauthorized access to systems or data
• Reverse engineer or attempt to extract source code except where permitted by law

5. Customer Data

You are responsible for the data submitted to the Services (“Customer Data”) and for ensuring you have all necessary rights and permissions to provide such data.

Hyde processes Customer Data solely to provide the Services and in accordance with applicable agreements between Hyde and the customer.

Ownership and intellectual property rights in Customer Data are governed by any separately executed written agreement between Hyde and the customer.

6. Confidentiality

Each party may receive confidential information from the other in connection with the Services. Each party agrees to use such information only for purposes related to the Services and to protect it using reasonable safeguards.

7. Intellectual Property

Hyde retains all rights, title, and interest in and to the Services, including all related software, technology, and documentation.

Except as expressly stated, these Terms do not grant either party rights to the other party’s intellectual property.

8. Disclaimers

The Services are provided “as is” and “as available.”

Hyde does not guarantee that the Services will be uninterrupted or error-free.

Outputs generated through AI systems may be probabilistic in nature and may require human review. Customers are responsible for evaluating outputs prior to reliance.

Hyde’s general service availability objectives are described in the Service Level Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Hyde shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Services.

Any additional liability terms are governed by separately executed written agreements, if applicable.

10. Termination

Hyde may suspend or terminate access to the Services if these Terms are breached.

Upon termination, access to the Services will cease in accordance with applicable agreements.

11. Data Processing

Where Hyde processes personal data on behalf of a customer in connection with the Services, such processing is subject to applicable data protection laws.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

13. Changes to These Terms

Hyde may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
